The following Terms of Participation are entered into by and between You and virtue + vice consulting (“Company”, “we”, or “us”).   

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these “Terms of Participation”), govern Your attendance and participation in the Indian Fashion Tour (the “Tour”) on February 13 through February 22, 2023.         

Please read the Terms of Participation carefully before You agree to attend the Tour. By attending the Tour, You accept and agree to be bound and abide by these Terms of Participation and our Privacy Policy, and any other documents We provide to You, including any Tour-related documents, menus, daily schedules, or anything else given to You while participating in the Tour (the “Itinerary”), all such documents incorporated herein by reference. If You do not want to agree to these Terms of Participation including the agreements incorporated by reference herein, You may not attend the Tour with Us. Company shall NOT provide for or reimburse You for international airfare or costs associated with Your travel to India, Your visa or any expenses related to entering India, any alcohol or medications, spending money, or any other expenses not expressly provided for in this Agreement or other Tour-related documents.

This Tour is offered and available to users who are 18 years of age or older. By attending the Tour, You represent and warrant that You are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements. If You do not meet all of these requirements, You may not attend the Tour with Us. Anyone accompanying You on the trip to India, including children, may be excluded from activities on the Tour in the Company’s sole discretion. You and/or any guests or children are wholly responsible for all expenses for that guest or child accompanying You to India. All indemnification of the Company herein also extends to such guests or children.      

CHANGES TO THE TERMS OF PARTICIPATION  
We may revise and update these Terms of Participation from time to time in our sole discretion. All changes are effective immediately when We post them, and We will notify You upon making such changes. Your attendance on the Tour is evidence that You accept and agree to any changes. You are expected to check your emails and text message from Us from time to time so You are aware of any changes, as they are binding on You.

PRIVACY
Your attendance on the Tour is also subject to the Company’s Privacy Policy. Please review our Privacy Policy, which also governs and informs users of our data collection practices. Your agreement to the Privacy Policy is hereby incorporated into these Terms of Participation.

Further, You agree that any photographs, videos, recordings or anything else collected or commemorating the Tour shall become the property of Company, and You agree to grant a license to Company to use Your image, voice and likeness in Company’s promotional and marketing material.     

WAIVER
By attending the Tour, You accept personal responsibility for the results of Your actions. You agree to take full responsibility for any harm or damage You suffer as a result of attending the Tour or any ventures or investments in the fashion industry. You agree to use judgment and conduct due diligence before taking any actions or implementing any plans or policy suggested or recommended by Us.

Further, you agree to the Waiver of Release and Liability [LINK] and its terms and conditions, including indemnifying Us for any action, claim, or damage while on the Tour. You also agree to take full responsibility for any medical coverage for Yourself and anyone accompanying You. Company shall not be responsible for any medical expenses incurred during the Tour.       

NO GUARANTEES AS TO RESULTS
You agree that the Company has not made any guarantees about the results of taking any action, whether recommended by Us or not. The Company provides educational and informational resources that are intended to help attendees of this Tour succeed. You nevertheless recognize that Your ultimate success or failure will be the result of Your own efforts, Your particular situation, and innumerable other circumstances beyond the control and/or knowledge of the Company.

You also recognize that prior results do not guarantee a similar outcome. Thus, the results obtained by others – whether clients of the Company or otherwise – applying the principles set out in any advice given by Company are no guarantee that You or any other person or entity will be able to obtain similar results.

EMAIL AND OTHER ELECTRONIC COMMUNICATIONS   
You consent to receive electronic communications and You agree that all agreements, notices, disclosures, and other communications that  We provide to You electronically, via email or through text, satisfy any legal requirement that such communications be in writing.     

USE OF PAID COURSES, PROGRAMS, AND ASSOCIATED MATERIAL   
The Company from time-to-time provides various courses, programs, and associated material for sale in commerce. The Company grants You a limited, personal, non-exclusive, non-transferable license to use our courses, programs, and associated material for Your own personal or internal business use while preparing for or on the Tour. Except as otherwise provided, You acknowledge and agree that You have no right to modify, edit, copy, reproduce, create derivative works of, reverse engineer, alter, enhance or in any way exploit any material We share with You in any manner.    

By attending the Tour, You further agree that You shall not create any derivative work based upon the any material We provide you with, and You shall not offer any competing products or services based upon any information We provide on this Tour.        

CANCELLATION / REFUND POLICIES      

Credit card and processing fees will not be refunded. No refunds will be given in any circumstances for cancellation prior to January 13, 2023. A refund of twenty-five percent (25%) shall be granted if cancellation occurs between November 14, 2022 and January 12, 2023. A full refund of any funds paid to Us towards attending the Tour shall be granted if cancellation occurs prior to November 13, 2022.     

Upon determining that You are entitled to a cancellation/refund pursuant to this policy, the Company will promptly issue an instruction to its payment processor to issue the refund. The Company does not control its payment processor and will not be able to expedite any refunds.        

If You receive a refund of any purchase through the terms and conditions, that shall immediately terminate any and all licenses granted You to use the material provided to You under these Terms of Participation or any other agreement. You shall immediately cease using the material and shall destroy all copies of the information provided to You, including without limitation: video recordings, audio recordings, forms, template documents, slide shows, membership areas, social media groups limited to paying members, and other resources.   

LIMITATION OF LIABILITY
You agree to absolve the Company of any and all liability or loss that You or any person or entity associated with You may suffer or incur as a result of attending the Tour. You agree that the Company shall not be liable to You for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for attending the Tour.     

ARBITRATION
You hereby expressly waive any and all claims You may have, now or in the future, arising out of or relating to the Tour, the Company, any and all contracts You enter into with the Company, and any and all of the Company’s products and services.     

To the extent that You attempt to assert any such claim, You hereby expressly agree to present such claim only through binding arbitration to occur in New York City, New York. You further agree to and do hereby waive any right to class arbitration and agree, instead, to conduct an arbitration related solely to any individual claims You and/or any entity related to You asserts against the Company. To the fullest extent permissible by law, You further agree that You shall be responsible for all costs associated with initiating the arbitration and for the administration of the arbitration.     

CHANGES TO TERMS
The Company reserves the right, in its sole discretion, to change the Terms under which the Tour is hosted, including the Itinerary from day to day. If the dates of the Tour are changed after You have made any payments toward travel accommodations that must be changed due to the Tour dates changing, We will reimburse you for those additional fees, to a maximum amount of Two Hundred Dollars ($200.00) only. All other changes or adjustments are Your responsibility and do not affect the refund or cancellation policy above. The most current version of the Terms will supersede all previous versions. The Company encourages You to periodically review the Terms to stay informed of our updates.
